Terms of Service

You must be at least 18 years old to create an account or use any part of PanzLab. By accessing the platform, you represent and warrant that:

• You are 18 years of age or older.
• You have the legal capacity to enter into a binding agreement.
• All information you provide during registration is accurate and current.
• You will comply with these Terms and all applicable laws.

PanzLab is not directed at children under 18. We do not knowingly allow under-18 users to register or access the platform. Accounts we reasonably determine to belong to a minor will be terminated and associated content may be removed.

PanzLab is a free, peer-to-peer feedback platform for screenwriters and filmmakers. The platform is built around a credit economy: members earn credits by reviewing other members' screenplays and spend credits to submit their own work for structured peer review. Every screenplay receives three full reviews from independent peers before it closes.

Current platform features include screenplay submission (PDF format), a credit-based review pipeline, structured review forms, moderation and dispute workflows, and individual Lab dashboards. New features will be added over time.

Nothing in these Terms constitutes a guarantee of any particular feature remaining available, or any guarantee of hiring, representation, production opportunities, or business outcomes.

To access most PanzLab features, you must register for an account. You agree to:

• Provide accurate, truthful, and complete registration information.
• Keep your account information current and up to date.
• Maintain the confidentiality of your login credentials.
• Take full responsibility for all activity occurring under your account.
• Notify us immediately at support@panzlab.com if you suspect unauthorized access.

You may not create multiple accounts, share accounts, use automated registration tools, use names that impersonate others or violate trademarks, or register on behalf of a person under 18.

You retain full ownership of all scripts, reviews, comments, profile content, and other creative materials ("User Content") that you submit or post on PanzLab. PanzLab does not claim ownership of your work.

By submitting User Content, you grant PanzLab a non-exclusive, worldwide, royalty-free, sublicensable, and transferable license to host, store, cache, reproduce, adapt, process, display, transmit, and distribute your content solely as necessary to operate, secure, maintain, improve, and promote the platform and its services.

This license remains in effect while your content exists on the platform and for a reasonable retention period following removal, where required for legal compliance, dispute resolution, or abuse prevention. You may delete your content or close your account at any time; deletion requests are processed subject to our data retention obligations.

You represent and warrant that for all User Content you submit:

• You hold all rights, licenses, and permissions needed to upload, post, and license the content under these Terms.
• The content does not infringe any copyright, trademark, trade secret, privacy, publicity, or other intellectual property or personal rights of any third party.
• The content and your conduct comply with applicable local, national, and international laws and regulations.
• Scripts submitted as original work are your own original creative work, or you have explicit authorization to submit them.

You agree not to use PanzLab to:

• Upload, post, or transmit content that is unlawful, infringing, defamatory, abusive, harassing, hateful, sexually exploitative of minors, threatening, deceptive, or fraudulent.
• Submit AI-generated reviews or AI-assisted feedback without genuine human creative engagement and judgment. AI-generated reviews are a serious violation and will result in suspension.
• Manipulate the credit system, ratings, review queues, or dispute systems through abuse, gaming, or coordinated inauthentic activity.
• Attempt to gain unauthorized access to other accounts, backend systems, databases, or restricted areas of the platform.
• Scrape, crawl, mirror, or automate access to the platform beyond what is expressly permitted, or reverse-engineer any part of the service.
• Impersonate another person, misrepresent your identity or affiliation, or create accounts for deceptive purposes.
• Upload malware, viruses, or any code designed to disrupt, damage, or interfere with the platform or its users.
• Use the platform for spam, unsolicited advertising, or any commercial solicitation not authorized by PanzLab.

PanzLab operates a credit system to ensure fair participation. Credits are a platform utility feature — not currency, not property, and not redeemable for cash, goods, or services.

• You earn credits for each completed, accepted peer review. Credit earnings scale with the length of the script you reviewed.
• You spend credits to submit a script to the review pipeline. Credit costs scale with your script length to maintain system balance.
• Credits may be adjusted or reclaimed in cases of extended inactivity, Terms violations, or platform abuse.

Credits may be adjusted, rebalanced, or the system may be modified or discontinued at PanzLab's discretion. Credits have no monetary value and carry no legal entitlement.

PanzLab uses a combination of automated systems and human moderation to maintain community standards. We may investigate reported content or conduct and take action at our sole discretion.

Enforcement actions may include:

• Informal warnings.
• Content removal or restriction.
• Temporary feature limitations or credit adjustments.
• Account suspension (temporary or indefinite).
• Permanent account termination.

To appeal a moderation action, contact support@panzlab.com with your account details and a description of the dispute. We review appeals within 7 business days where practicable. We are not obligated to reverse any enforcement decision, but we commit to reviewing appeals in good faith.

We may cooperate with law enforcement or regulatory authorities where required by law or where reasonably necessary to prevent harm to users or third parties.

PanzLab's name, logo, design, software, trade dress, and platform-generated content are protected by copyright, trademark, and other intellectual property laws. You may not use PanzLab's intellectual property without our prior written consent.

If you believe content on PanzLab infringes your copyright or other intellectual property rights, send a written notice to support@panzlab.com including: (1) identification of the copyrighted work claimed to be infringed; (2) identification of the allegedly infringing material and its location on the platform; (3) your contact information; (4) a statement of good faith belief that the use is unauthorized; and (5) a statement under penalty of perjury that the information is accurate and you are authorized to act.

We take intellectual property rights seriously and may terminate accounts of repeat infringers.

PanzLab relies on third-party infrastructure and service providers including Firebase (Google) for authentication, database, and storage; Google reCAPTCHA for abuse prevention; and other vendors as needed to operate the service.

Your use of PanzLab is subject to those providers' relevant terms and policies where applicable. We are not responsible for the practices of third-party services linked from or integrated with PanzLab.

Your use of PanzLab is also governed by our Privacy Policy, which is incorporated into these Terms by reference. The Privacy Policy describes how we collect, use, share, and retain personal information and your rights as a data subject.

You may stop using PanzLab and close your account at any time by contacting support@panzlab.com. Account deletion requests are processed subject to data retention requirements.

We may suspend or terminate your access at any time, with or without notice, for reasons including but not limited to: violation of these Terms, illegal conduct, extended inactivity in a group context, legal requirements, platform security, or operational necessity.

Upon termination: your access to PanzLab features is revoked; content you submitted may be removed or retained as required; outstanding obligations under these Terms survive termination, including Sections 4, 5, 13, 14, 15, 16, and 17.

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, PANZLAB IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, TITLE, OR UNINTERRUPTED OR ERROR-FREE OPERATION.

We do not warrant that the platform will meet your specific requirements, that feedback you receive will be accurate or useful, or that any particular creative or professional outcome will result from your use of PanzLab. User-generated content, including reviews, reflects the individual opinions of users and does not represent PanzLab's views.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PANZLAB AND ITS OPERATORS, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, GOODWILL, BUSINESS OPPORTUNITIES, OR BUSINESS RELATIONSHIPS, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE PANZLAB, EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF PANZLAB SHALL NOT EXCEED THE GREATER OF (A) $100 USD OR (B) THE TOTAL AMOUNTS YOU PAID TO PANZLAB IN THE 12 MONTHS PRECEDING THE CLAIM.

Some jurisdictions do not allow the exclusion or limitation of certain warranties or damages. In such jurisdictions, liability is limited to the maximum extent permitted by law.

You agree to defend, indemnify, and hold harmless PanzLab and its operators, directors, employees, and agents from and against any third-party claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising out of or relating to: (a) your User Content; (b) your use of PanzLab; (c) your violation of these Terms; (d) your violation of any law or the rights of any third party; or (e) any false or misleading information you provide.

We reserve the right to assume exclusive control of the defense of any matter subject to indemnification by you, in which case you agree to cooperate with our defense.

These Terms are governed by and construed in accordance with the laws of the State of California, United States, without regard to conflict-of-law principles.

Informal Resolution: Before initiating any formal legal proceeding, you agree to contact us at support@panzlab.com and attempt to resolve the dispute informally. We will attempt to do the same. Most concerns can be resolved quickly this way.

Binding Arbitration:For claims under $10,000 USD that cannot be resolved informally, either party may elect binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules. Arbitration shall be conducted on an individual basis. The arbitrator's award shall be final and binding and may be entered as a judgment in any court of competent jurisdiction.

Class Action Waiver: YOU AGREE THAT DISPUTES SHALL BE RESOLVED ON AN INDIVIDUAL BASIS ONLY. YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION, CLASS ARBITRATION, OR REPRESENTATIVE PROCEEDING. This waiver is a material term of these Terms.

Jurisdiction: For claims not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Los Angeles County, California.

Time Limit: Any claim arising out of or related to these Terms must be brought within one (1) year of the event giving rise to the claim. Claims not brought within this period are permanently barred.

We may modify these Terms at any time. For material changes that affect your rights, we will provide at least 14 days' advance notice via email to registered users or a prominent in-platform notice before the changes take effect.

Continued use of PanzLab after the effective date of an update constitutes acceptance of the revised Terms. If you object to any change, you must stop using PanzLab and may close your account. Previous versions of the Terms are available on request.

Entire Agreement: These Terms and our Privacy Policy constitute the entire agreement between you and PanzLab regarding the platform and supersede all prior agreements.

Severability: If any provision of these Terms is found unenforceable, the remaining provisions continue in full force and effect.

No Waiver: Our failure to enforce any right or provision does not constitute a waiver of that right or provision.

Assignment: You may not assign or transfer your rights or obligations under these Terms without our prior written consent. We may assign our rights and obligations in connection with a merger, acquisition, or sale of assets.

Language: These Terms are in English. Any translated versions are for convenience only; the English version governs in all cases.
